Our Team Karen M. ShulerKoley Jessen P.C., L.L.O. Karen Shuler is the Chair of Koley Jessen’s Health Law Practice Group. She is also a member of the firm’s Estate and Business Succession Planning Practice Group and the Business/General Counsel Practice Group. Karen advises health care providers on all aspects of their businesses, including day-to-day and strategic planning issues. Her services include the development of entry and exit strategies for business owners, design of compensation plans, negotiation of contracts, compliance programs, medical staff credentialing issues, licensing, disciplinary actions, regulatory matters, joint ventures for ancillary services, and mergers, acquisitions and sales of practices. In the nonprofit area, Karen forms nonprofit organizations and obtains tax-exempt status therefor. She advises nonprofit organizations on day-to-day issues including compliance with the complex set of rules governing their operations to maintain tax-exempt status, developing grant applications and agreements and assisting in their implementation. In addition, she advises nonprofit organizations’ officers and directors as to their respective fiduciary duties, including conflicts of interest. She also helps families transition the management of private foundations from one generation to the next.
