Matt Maser is a Shareholder and member of Koley Jessen’s M&A/Securities Practice Group and the firm’s Tax Practice Group. Within his M&A practice, Matt counsels and advises private equity firms and business owners on the structure of transactions, including tax, liability, securities and management issues. He negotiates, drafts and advises clients on issues arising in purchase agreements and related transaction documents. He also counsels and advises clients on post-closing matters, including purchase price adjustments, indemnity claims and earnout provisions. Matt also negotiates and drafts private equity fund documents as well as public offering documents, private placement memorandums, and securities law filings and counsels and advises his clients regarding related issues. Matt counsels and advises borrowers and lenders in loan transactions and alternative finance structures. He also works with bank and mezzanine lenders in conjunction with bridge and mezzanine loan transactions.

  • Represented client in connection with its initial public offering and two secondary offerings
  • Represented seller in $150 million sale of stock
  • Represented client in connection with the formation of an $85 million private equity fund, the formation of a $40 million private equity fund, and the formation of a $120 million real estate investment private equity fund
  • Represented client and its affiliates in connection with the merger of over 90 radio stations in Kansas, Nebraska, Iowa, Wisconsin and Illinois
  • Member of the Board of Directors of Five Points Bank and Grand Island Independent, LLC
