Joe Hefflinger is a Senior Associate and practices with the M&A/Securities, Business/General Counsel and Tax Practice Groups. He represents both public and private companies in mergers, stock and asset transactions by conducting due diligence, drafting purchase agreements and ancillary documentation, and advising clients during negotiations. Joe also represents clients in general business and securities matters, particularly in creating equity incentive plans for key employees, drafting private offering documents and making securities filings in connection with private offerings. He also has extensive experience in drafting operating agreements and buy/sell agreements for clients. In addition, Joe handles a variety of corporate and partnership tax matters for clients.

Representative Experience

• Member of the Nebraska State Bar Association committee which reviewed and assisted in the drafting of Nebraska’s Uniform Limited Liability Company Act
• Representation of seller in the sale of substantially all of the assets of a nutrition supplement company
• Representation of issuer in the private offering of LLC interests in a manufacturing company
• Representation of issuer in the creation and implementation of an Employee Stock Plan for the key employees of its feedlot operation
• Representation of client in its corporate restructuring
