Employee Benefits, ERISA and Executive Compensation

We understand the critical need for business entities to design and maintain outstanding retirement plans, deferred compensation arrangements and other benefit programs in a competitive environment that places a premium on attracting and retaining talented employees. We also understand the need to design cost- effective and understandable programs for our clients. We work closely with other professionals, including third party administrators, actuaries, accountants, insurance and investment advisors, to bring a team approach to the benefit programs of our clients.
What we can do for you:
- Design and implement individually designed pension, profit sharing, and other ERISA qualified plans
- Design and implement Employee Stock Ownership Plans and, in cooperation with our other Practice Groups, handle related financing and transactional matters
- Design and implement nonqualified deferred compensation arrangements, and employee equity plans such as phantom stock plans, SAR plans, restricted stock plans and stock option plans
- Sponsor and maintain prototype 401(k), pension and profit sharing plans and assist in designing, implementing and maintaining qualified status
- Handle plan terminations, mergers and similar transactional matters involving qualified plans
- Advise, in cooperation with our Business, Securities and Tax and Mergers, Acquisitions & Divestitures Practice Groups, regarding qualified plan and employee benefit aspects of business acquisition and sale transactions
- Represent in defending and prosecuting ERISA litigation matters
- Represent and advise in connection with Department of Labor and IRS audits and investigations
- Design and implement specialized executive incentive and retention arrangements
- Advise clients regarding alternatives and tax consequences of withdrawals from qualified plans and elections and exercise of rights under other benefit plans
- Design, implement and advise regarding Cafeteria Plans and other welfare benefit arrangements
