David Mayer is the Chair of Koley Jessen’s Business/General Counsel Practice Group.  He counsels clients in a broad range of areas and provides advice on the wide variety of business opportunities and challenges faced by our clients. David has led a large team of attorneys and paralegals in assisting domestic and international clients with respect to business entity formation and structuring, corporate governance, supply chain management, loan transactions, real estate matters, commercialization of intellectual property assets and the review, drafting and negotiation of all forms of business contracts. David practices in several practice groups within the Firm and serves as a link for the client to all of the Firm’s Practice Groups and resources. David continues to lead and otherwise participate in the Firm’s efforts to provide proactive innovative value-added services for the Firm’s clients. Such efforts include development and implementation of: (1) a client-driven comprehensive form drafting and negotiation process, (2) an electronic remote accessible Knowledge Management System (including real estate management and other data organization and tickler systems) and, (3) the offering of educational seminars tailored to specific clients or industries on a wide range of practical general corporate law/business topics.

• Advised clients on antitrust concerns and prepared antitrust compliance program and related materials
• Advised clients on compliance with state and federal franchise laws and state business opportunity laws

• Advised contractor clients on compliance with state and local licensing requirements for residential and commercial projects
• Advised contractor clients on process for contracting with state and federal government authorities

Misc

• Drafted materials and workmanship warranties for clients
• Drafted and reviewed various domestic and international sales representative, distributor, product development, manufacturer and supply agreements for clients
• Negotiated various license and technology development agreements for clients
• Drafted consumer contracts for contractor clients
• Advised clients regarding state and federal advertising and other laws with respect to advertising materials
• Represented international clients in establishing U.S. headquarters and collaborating with Koley Jessen’s immigration attorneys to address immigration matters for such clients
• Represented a large group of media companies in developing and implementing a real estate management system and related set of form business contracts
• Represented, as ordinary course counsel, a large group of media companies leading up to, through and out of a bankruptcy proceeding
• Represented one of the Midwest’s largest providers of crane and hoisting equipment sales, service and support in developing and implementing a comprehensive set of standardized business contracts and related formalized protocols and procedures for negotiation, execution and collection practices in connection with such contracts
• Represented manufacturer in drafting an updated form distributor agreement and related standardized form documents and policies and advised client regarding roll-out strategy related thereto
