Shaun McGaughey is the Chair of Koley Jessen’s Business Department, which contains eight of the firm’s practice groups. He is also a senior member of the M&A/Securities and Tax Practice Groups and serves as Executive Vice President. Shaun has over twenty years of experience counseling clients on general business matters including choice of entity, entity formation, ownership structure and transition, reorganizations and business contracts. Through his M&A practice, Shaun advises his clients on all aspects of business transactions including transaction structure, due diligence investigation, negotiation of deal terms, closing of the transaction and post-closing matters. He has provided legal representation on well over 125 completed business transactions ranging in value of up to $300 million. His tax practice has focused on corporate, partnership and sales and use taxes, including business organizations, reorganizations, entity structure planning, and sales and use tax advice and appeals.  Shaun has been selected by his peers for inclusion in Best Lawyers in America (© Woodward/White Inc.) for the past four years for his work in Mergers and Acquisitions Law and Corporate Law.

• Dover Corporation in the sale of Crenlo, LLC and Paladin Brands to KPS Capital Partners, LP for $290 million
• O’Malley Grain Inc. in the sale of substantially all of its assets to The Andersons, Inc.
• Environmental Services Group, a subsidiary of Dover Corporation, in the sale of its Heil Truck Equipment Group division to Truck Bodies Equipment International, Inc.
• Vehicle Service Group, LLC, a subsidiary of Dover Corporation,  in the acquisition of certain assets of Hanmecson International, Inc., a Chinese-based company, and Direct-Lift, L.P.
• Dover Corporation in the sale of Somero Enterprises, Inc. to Gores Technology Group, LLC
• Dover Corporation in the sale of Koolant Koolers, Inc. to Riedel USA, Inc. and Glen Electric Ltd
