Profile

Dan McMahon has a broad, multidisciplinary practice that includes venture capital financings and private equity transactions, formation and operation of private investment funds, mergers and acquisitions, start-up company matters, securities offerings, and general corporate matters.

Dan has extensive experience advising fund sponsors on the organization, structuring, and operation of private investment funds. He assists investment fund clients from the fundraising process throughout the life of the fund. He also advises and counsels clients with respect to the laws and regulations applicable to private investment funds and their sponsors, including investment adviser registration, securities law compliance, and SEC filings.

Dan represents his investment fund clients, family offices, and other strategic investors, in connection with their investment activities, including venture capital, buyout, joint venture, and minority equity investment transactions. In particular, he has represented private equity and venture capital funds in connection with numerous preferred stock investments in technology and emerging growth companies. Dan also regularly counsels emerging growth companies from their initial start-up phase through multiple rounds of financing, strategic growth and exit opportunities.

Prior to joining Koley Jessen, Dan was an associate with Akin Gump Strauss Hauer & Feld LLP where he was a member of the Business Transactions – Investment Funds and Private Equity practice group.
