Overview

As the leader of the firm’s Commercial and Technology Agreement practice, David Goeschel has “a seat at the table” for his clients’ strategic relationship discussions and contract negotiations. David has spent his entire career helping businesses increase their value through commercializing their intellectual property, and exclusively focuses his practice on getting deals done through structuring, negotiating and implementing complex commercial contractual arrangements.

David combines his transactional skills of contract drafting and negotiation with his understanding of technology and intellectual property. He values clear communication with his clients throughout the contracting process, which must strike a balance between zealously advocating for his client in order to reach an agreement while still reaching a sound business deal that is beneficial for all parties.

David has extensive experience structuring and negotiating a wide range of commercial contracts, including manufacturing, distribution, supply, licensing, consulting, and other contractual arrangements throughout the supply chain and procurement process. His background in intellectual property allows him to be a strategic advisor to technology clients, with a particular focus on technology transactions and vast experience drafting and negotiating software license, development, and SaaS agreements. David routinely works with clients to structure, design, and implement form contracts uniquely situated to their businesses and industries.

David’s clients range from start-up technology companies to Fortune 500 businesses across all industries. He understands that clients need a legal partner that can move at the speed of their business and has built a team capable of supporting clients and their contract needs under any unforeseen circumstance. There is rarely a “one size fits all” contracting solution, so David is adept at creating flexible solutions tailored for a particular client’s needs. This could include developing improved contracting processes and forms, serving as specialized resource for complex contract negotiations, handling month-end or quarter-end overflow for in-house counsel, and acting in an extended in-house counsel role when needed. He strategically structures relationships with clients to fit their needs, whether it is through flat-fees, blended rates, or other alternative fee arrangements.

For his work in these areas, David was named a Super Lawyers Rising Star in 2016-2018. He has also been recognized by Omaha Magazine Top Lawyers of Omaha in Commercial Transactions and by Chambers and Partners for his Intellectual Property work.

David is a member of Koley Jessen's Diversity and Inclusion Committee and is the Chair of the Recruiting Committee.
