Overview

As the leader of the firm’s Commercial and Technology Agreement practice, David Goeschel advises companies and transaction stakeholders on structuring and negotiating revenue-critical commercial relationships that support growth, scalability, and enterprise value. He works with leadership teams, investors, and transaction counsel to strengthen commercial contracting and intellectual property frameworks that position organizations for investment, acquisitions, and strategic exits.

David focuses his practice on helping businesses commercialize intellectual property and implement contracting strategies that enhance valuation and reduce execution risk in strategic transactions. His experience includes addressing commercial agreement issues that arise in diligence, improving licensing structures, organizing contract portfolios, and supporting integration planning across platforms and business units.

He has extensive experience structuring and negotiating complex commercial arrangements across technology, supply chain, manufacturing, distribution, licensing, and consulting relationships. Because these agreements frequently represent a company’s most significant revenue drivers and operational dependencies, David regularly works alongside deal teams to evaluate contract-level risk, improve agreement consistency, and strengthen contracting infrastructure ahead of financing events and acquisitions.

In addition to supporting individual negotiations, David works with companies to design scalable contracting frameworks and form agreements aligned with growth strategies and platform expansion initiatives. These frameworks help organizations increase execution speed, improve consistency across business units, and support integration following acquisitions.

David’s clients range from start-up technology companies to Fortune 500 businesses across a wide range of industries. He regularly partners with in-house legal teams, executive leadership, private equity sponsors, and investment bankers during periods of investment activity and strategic growth to support diligence preparation, integration planning, and high-volume contracting environments tied to acquisitions and platform development. He structures client relationships flexibly to match business needs, including flat-fee arrangements, blended rate structures, and extended in-house counsel support models.

As leader of the firm’s Strategic Growth initiative, David focuses on developing and maintaining deep relationships across the private equity and M&A ecosystem. Through ongoing engagement with investors, financial sponsors, investment bankers, and other trusted intermediaries, he helps ensure Koley Jessen clients are strategically positioned and supported by the right advisors for acquisitions, exits, and other transformative transactions.

For his work in these areas, David was recognized by The Best Lawyers in America® for Trademark Law in 2025 and Chambers USA for Intellectual Property from 2022-2025. He has also been recognized by Omaha Magazine Top Lawyers of Omaha in Commercial Transactions.
