Overview
Matt Speiker serves in an outside general counsel capacity for businesses of all types and sizes. Matt supports in-house counsel, senior executive teams, and sales personnel and can be counted on to appropriately address legal issues that are extraordinary and those that arise as a part of day-to-day business activities and operations. When necessary, he will facilitate the introduction of subject matter or industry experts.
Matt also assists companies in business-to-business transactions helping them to capitalize on opportunities and mitigate risks in a solution-oriented manner. He has extensive experience in complex finance transactions and regularly advises borrowers and junior and senior lenders (financial institutions and non-bank lenders such as private equity companies) in commercial loan transactions, restructures, workouts and foreclosures. He also advises banks, bank holding companies and their owners with respect to state and federal regulatory matters.
In non-finance commercial matters, Matt advises and negotiates on behalf of publicly traded and closely-held businesses in a variety of transactions, including those that are complex or strategic and those arising in the ordinary course of business. He prides himself in being able to offer practical and creative solutions. Matt also represents companies and principals in connection with: entity selection and formation; restructurings and reorganizations; the issuance and transfers of business interests; corporate governance/fiduciary duty issues; legal compliance and changes in the law; entity owner disputes; and commercial disputes.

- Represented national, regional and community financial institutions in loan transactions, work-outs and foreclosures across an array of industries including: private equity sponsors, manufacturers, residential (single, multi-family housing, senior and assisted living) and commercial real estate owners and developers, professional firms, health care companies and hospitals, media companies, software and technology companies, franchisors, franchisees, warehouses, clearinghouses, private colleges and universities, service companies, restaurant and hospitality businesses, non-profit and membership organizations, distributors, dealers, collection agencies, general contractors, and subcontractors
- Represented bank holding companies and bank owners and ownership groups in connection with regulatory filings under the Bank Holding Company Act and other change in control matters
- Represented public and private companies in loan transactions ranging from $100,000 to $500,000,000
- Represented private companies in orderly liquidations and pre-bankruptcy planning
- Represented private companies in developing systems and form documents for use with customers and vendors
