As a trusted partner and counsel, Peter Langdon works with companies and executives in all aspects of executive compensation, nonqualified deferred compensation, and alternative equity ownership arrangements. Peter is able to navigate the complex legal aspects of executive compensation and nonqualified plans, while simultaneously explaining those complexities in a clear and concise manner to his clients. He understands the importance of finding creative and effective solutions to complex problems.
With a primary focus on executive compensation, nonqualified deferred compensation, and employee benefits, Peter guides his clients through the complex web of rules and regulations governing nonqualified plans and employee benefits generally. He has extensive experience in advising companies and clients with deferred compensation packages under Internal Code Sections 409A and 457. He also consistently advises companies, executives, and human resource professionals on the creation, implementation, and administration of general incentive compensation plans, including change of control bonus plans, equity ownership plans, stock option plans, and alternative equity ownership plans, such as stock appreciation rights plans and phantom stock plans.
Peter is also well-versed in employee benefits, specifically with regard to health and welfare benefits. He has experience with the creation and maintenance of both fully-insured and self-insured health plans, compliance matters under the Affordable Care Act, COBRA administration, and other various aspects of health and welfare benefits. Peter understands the regulatory environment governing health and welfare benefits is constantly changing and prides himself on staying up to date on such changes to provide maximum benefit to his clients.
In his general labor and employment practice, Peter counsels companies and human resource professionals regarding various federal, state, and local employment-related laws across the country. He regularly drafts and reviews various employment-related agreements, including employment agreements, severance agreements, non-compete agreements, and confidentiality and non-disclosure agreements. Peter also regularly advises on general labor and employment matters, health and welfare issues, and deferred compensation issues in the transactional context with respect to buy-side due diligence in mergers and acquisitions.
